Terms of Service

Please read these Terms of Service ("Terms") carefully before using the services provided by Blue Sky Healing Arts Center LLC.

1. Agreement to Terms

By engaging Blue Sky Healing Arts Center LLC for digital marketing services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services. These Terms constitute a legally binding agreement between you (the "Client") and Blue Sky Healing Arts Center LLC.

2. Provision of Digital Marketing Services

Blue Sky Healing Arts Center LLC agrees to provide the Client with digital marketing services as detailed in a separate Statement of Work (SOW) or proposal. Services may include Search Engine Optimization (SEO), Pay-Per-Click (PPC) advertising, Social Media Marketing, Content Marketing, and other related services.

• Timelines: Project timelines will be outlined in the SOW. While Blue Sky Healing Arts Center LLC will make every reasonable effort to meet these timelines, the Client acknowledges that delays may occur due to factors beyond our control, such as third-party platform changes or delays in Client feedback.
• Client Responsibilities: The Client agrees to provide all necessary access to information, data, and digital assets required for Blue Sky Healing Arts Center LLC to perform its services.

3. Payment Terms

Payment terms, including fees, invoicing schedules, and payment methods, will be specified in the SOW. Payments are due upon receipt of the invoice unless otherwise specified. Late payments may incur interest charges. All fees are non-refundable once services have commenced.

4. Intellectual Property

Any pre-existing intellectual property of either party shall remain the property of that party. Any new materials created by Blue Sky Healing Arts Center LLC specifically for the Client as part of the services ("Deliverables") shall become the property of the Client upon full and final payment for the services. Blue Sky Healing Arts Center LLC retains the right to use the Deliverables for its own promotional and portfolio purposes.

5. Confidentiality

Both parties agree to keep all confidential information, including business strategies, client data, and proprietary processes, private and not to disclose it to any third party without prior written consent.

6. Limitation of Liability

Blue Sky Healing Arts Center LLC shall not be liable for any indirect, incidental, special, or consequential damages resulting from the use or inability to use our services. Our total liability shall not exceed the total fees paid by the Client to Blue Sky Healing Arts Center LLC for the services in question.

7. Legal Disclaimers

Blue Sky Healing Arts Center LLC provides services on an "as is" basis and does not guarantee specific results. The digital marketing landscape is constantly changing, and outcomes can be affected by numerous external factors. Please refer to our separate Disclaimer for more information.

8. Termination

Either party may terminate the service agreement with 30 days written notice. The Client will be responsible for payment for all services rendered up to the date of termination.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Blue Sky Healing Arts Center LLC is located, without regard to its conflict of law provisions.
